Artist Studio to change name amid management shifts and actor stake reductions
Artist Studio, a company launched with the influence of actors Lee Jung-jae and Jung Woo-sung, is set to change its name to Studio Ssolssol following significant shifts in its management structure and shareholding.
KOSDAQ-listed Artist Studio plans to rename itself Studio Ssolssol at an extraordinary general meeting on the 26th, following Lee Jung-jae's stake reduction to 0.83% and Jung Woo-sung's resignation as an inside director.
Artist Studio, which launched with the ambitious goal of leveraging the names of Lee Jung-jae and Jung Woo-sung, is expected to remove "Artist" from its corporate name. After securing management rights of RaemongRaein, the producer of the drama "Reborn Rich," the company sought growth by combining the influence of the two actors with content production capabilities. However, less than two years after its rebranding, the company is moving to change its signpost. Amid Lee Jung-jae's reduction in shares and Jung Woo-sung's resignation as a director, the management structure centered around the two actors is undergoing distinct changes.
According to the Data Analysis, Retrieval and Transfer System of the Financial Supervisory Service on the 18th, KOSDAQ-listed Artist Studio will hold an extraordinary general meeting of shareholders on the 26th. At this meeting, the company plans to submit and vote on an amendment to the articles of incorporation to change its name to Studio Ssolssol. Artist Studio was formerly the entity that evolved from RaemongRaein. If this amendment passes the shareholders' meeting, the company brand that prominently featured the names of Lee Jung-jae and Jung Woo-sung will be replaced with a new name approximately two years after its launch.
The launch of Artist Studio originally held significance beyond a simple name change. On October 31, 2024, Lee Jung-jae's side won the management rights dispute for RaemongRaein, leading to the appointment of Lee Jung-jae and Jung Woo-sung as inside directors. Following this, the company rebranded as Artist Studio. At the time, Artist United (now Artist Company), of which Lee Jung-jae was the largest shareholder, emphasized having achieved a decisive victory at the shareholders' meeting and expressed expectations to secure strong growth engines by combining the capabilities of producing hit content such as "Reborn Rich" with the influence of the two actors.
The names and networks of the two actors were presented as core assets to drive the company's future. The plan was to create business synergy by combining the expertise of a content production company with the brand power of top-tier actors. However, as time passed, changes continued in the company's shareholding structure and management composition, and now a plan is being pursued to remove "Artist" even from the company name. A significant gap has emerged between the growth strategy presented at the time of launch and the current changes.
The reduction of Lee Jung-jae's stake is one facet of these changes. On September 1, Lee Jung-jae sold 408,345 shares of Artist Studio to Studio Jidam for approximately 5.5 billion won. Consequently, his individual stake decreased from the previous 5.04% to 0.95%, and subsequently dropped to 0.83% following a paid-in capital increase. As the stake of the individual who led the changes during the management dispute has decreased significantly, changes are also appearing in the shareholder composition.
Jung Woo-sung has also stepped back from management. On the 2nd, he resigned from his position as an inside director of the separately listed Artist Company. Although his term was originally scheduled to expire on March 28, 2027, he stepped down from the director position about six months prior to that. However, Jung Woo-sung holds a 10.99% stake in Artist Company and maintains his relationship as an actor under the agency. Therefore, it is difficult to interpret this resignation alone as a complete severance of his relationship with the company.
The shareholding structure of Artist Studio is also being reorganized. MBN participated in a paid-in capital increase worth 4 billion won last month, and Artist Company is also proceeding with the sale of some of its held shares to Studio Jidam. Amid ongoing investments and share transactions, the company has entered a stage of reorganizing its existing name and business structure. However, it is necessary to examine separately whether these changes are part of a long-term strategy and what the specific relationship is between the changes in the actors' stakes and management participation and the name change.
The proposed name change does not only contain the content of changing the name. It includes adding exhibition, convention, event agency, and art content businesses to the business purposes, as well as amending regulations regarding the issuance of new shares for attracting external investment. This is interpreted as a move to expand the scope of the business, which was centered on content production, and to expand options for financing. If the name change is confirmed, the company is likely to face a new turning point not only in its brand but also in its business direction.
Ultimately, the extraordinary general meeting of shareholders on the 26th is expected to be the venue where Artist Studio decides whether to adopt the new name. It holds significant symbolism as the company, which promoted the influence of Lee Jung-jae and Jung Woo-sung as growth engines, chooses a new signpost amidst the reduction of the two actors' stakes and changes in management. However, the name change itself does not signify a failure of the business or a complete separation between the two actors and the company. The results of the shareholders' meeting, future management strategies, and actual business performance will serve as the key criteria for evaluating the company's change in direction.
